- Background & Purpose of the Role
The Planning and Development Authority (PDA) is seeking a skilled individual with a professional demeanour, strong initiative, and the capacity to learn and adapt in a dynamic environment. The ideal candidate will demonstrate sound judgment, take and follow
direction well, show natural aptitude, and approach their work with resourcefulness and diligence. This role is designed to strengthen board governance by ensuring effective administration, coordination, and execution of board matters.
The successful applicant will provide high-level administrative and governance support to the Board of Directors, including managing board meetings, documentation, compliance, and communications.
This position reflects the PDA’s commitment to operational efficiency, transparency, and strong governance practices. - Key Responsibilities
Primary Responsibilities: Board Governance & Support
● Coordinate all Board and Board Committee meetings, including scheduling, agenda preparation, documentation, and logistical arrangements.
● Record and maintain accurate minutes, resolutions, and records of board decisions.
● Ensure compliance with legal, regulatory, and corporate governance requirements.
● Serve as the point of contact for board members regarding logistical, procedural, and documentation matters.
● Facilitate Director onboarding, orientation, and ongoing board development activities.
● Maintain secure, organized archives of board records and corporate documents.
● Track follow-up actions and timelines arising from board decisions.
● Liaise with internal and external stakeholders (e.g., legal advisors, auditors) on behalf of the Board as needed. - Required Competencies and Attributes
● Knowledge of corporate governance practices, regulatory compliance, and board administration.

● Strong interpersonal skills with the ability to interface effectively with senior leadership and external stakeholders.
● Proficiency in Microsoft Office Suite and familiarity with board or document management systems. - Qualifications, Experience & Competencies
● The candidate must possess a Bachelor’s Degree in Business Administration, Public Administration, Governance, Law, or a related field.
● Secretarial experience is a key requirement for this role. The candidate must have a minimum of three (3) years of relevant experience in secretarial services, governance support, or an executive liaison capacity, specifically supporting senior leadership or boards. Previous experience in supporting a Board of Directors in either the public or private sector is strongly preferred and highly desirable.
● The successful candidate must demonstrate exceptional communication skills, including the ability to articulate thoughts clearly and professionally in both verbal and written formats. S/he must be capable of tailoring communication for various stakeholders and audiences, ensuring messages are delivered with clarity, precision, and appropriateness.
● The candidate should exhibit confidence and professionalism when engaging with the Board of Directors, senior leadership, and external parties, and be adept in representing the organization with poise, credibility, and integrity.
● A key requirement for this role is strong proficiency in digital communication, including the ability to navigate and utilize various social media platforms and communication technologies effectively. The successful candidate will also be required to maintain a professional presence and possess excellent interpersonal skills, demonstrating tact, discretion, and diplomacy when handling sensitive matters and confidential communications.
● The candidate must possess accurate and efficient typing skills, with the ability to produce well-formatted documents, reports, and correspondence in a timely manner. The role requires excellent organizational skills and a demonstrated ability to manage complex administrative functions, including the preparation of board materials, meeting minutes, and other relevant documents with the highest level of attention to detail.
● The candidate should have a strong understanding of corporate governance protocols and be capable of ensuring that all actions and communications align with these standards, maintaining the integrity and reputation of the Board and the organization.
● This role demands an individual with a high level of professionalism, and the ability to manage multiple responsibilities effectively while supporting the strategic objectives of the Board of Directors. - Engagement Terms
● This is a contractual position, reporting directly to the Board of Directors.
● The terms and duration of the contract, including compensation, will be discussed upon selection.
● This TOR is intended to outline key responsibilities and expectations, but is by no means exhaustive of all duties that may be required in the role.
● The position requires attendance at meetings of the Board of Directors, which extend beyond regular working hours up to twice per month; therefore, flexibility is required. In all other respects, the role adheres to the Authority’s standard office schedule. - Confidentiality
● Due to the sensitive nature of the work, the incumbent is required to maintain strict confidentiality at all times regarding board discussions, decisions, and executive matters. - Application Process
